SHISEIDO GLOBAL FLAGSHIP STORE Terms of Use

These Terms set forth the conditions for the use of the various services (hereinafter, “Services”) provided in the SHISEIDO GLOBAL FLAGSHIP STORE (Address: Hankyu Hanshin Ginza Building 1F, 2F and B1, 3-3-13 Ginza, Chuo-ku, Tokyo; hereinafter, “SHISEIDO GLOBAL FLAGSHIP STORE”), operated by Shiseido Company, Limited and Shiseido Japan Co., Ltd. (hereinafter collectively referred to as “Shiseido”) as well as the conditions for pre-booking (hereinafter, “Pre-Booking”) Services that require to be pre-booked (hereinafter, “Pre-Booked Services”) through the “SHISEIDO GLOBAL FLAGSHIP STORE Website (URL: https://www.shiseido.co.jp/ginza/)” (hereinafter, “the SHISEIDO GLOBAL FLAGSHIP STORE Website”) or in store at the SHISEIDO GLOBAL FLAGSHIP STORE.

Article 1 (Acceptance of these Terms)

  1. 1.1. Service users shall use Services by utilizing the “S CONNECT” user identification tool provided in the SHISEIDO GLOBAL FLAGSHIP STORE (hereinafter, “the Tool”) after having agreed to these Terms, and users of Pre-Booked Services shall make a Pre-Booking and use Pre-Booked Services after understanding and agreeing to the content of the important points presented by Shiseido at the time of Pre-Booking in addition to these Terms. Users may not use Services or make a Pre-Booking for Pre-Booked Services without agreeing to these Terms and aforementioned important points.
  2. 2.2. A user who has used Services or who has made a Pre-Booking for Pre-Booked Services shall be regarded as having agreed to these Terms.
  3. 3.3. Shiseido reserves the right to revise the content of these Terms in whole or in part without prior notice to users. In this case, the revised terms will become effective when they are posted on the SHISEIDO GLOBAL FLAGSHIP STORE Website or displayed in the SHISEIDO GLOBAL FLAGSHIP STORE. A user who has used Services or who has made a Pre-Booking for Pre-Booked Services following revision to these Terms shall be regarded as having agreed to the revised terms.

Article 2 (Scope of Use)

Only persons who have agreed to these Terms and have received the Tool provided by Shiseido in the SHISEIDO GLOBAL FLAGSHIP STORE may use Services as users, and only persons who have agreed to these Terms and have registered their personal information, etc. in accordance with the procedures prescribed in these Terms may make a Pre-Booking and use Pre-Booked Services.

Article 3 (How to Use Services)

Users shall utilize the Tool in accordance with the instructions of Shiseido when using Services.

Article 4 (Usage Fee)

The use of Services is charged except for some Services. Shiseido will separately indicate whether a usage fee will be charged at the time of Pre-Booking or when using Services. Any other communications charges and provider fees, etc. incurred when accessing the SHISEIDO GLOBAL FLAGSHIP STORE Website shall be borne by the user.

Article 5 (How to Make a Pre-Booking)

  1. 1.1. Persons wishing to use Pre-Booked Services shall agree to these Terms when making a Pre-booking for Pre-Booked Services and apply to make a Pre-Booking through the SHISEIDO GLOBAL FLAGSHIP STORE Website or in store at the SHISEIDO GLOBAL FLAGSHIP STORE in accordance with the procedures prescribed by Shiseido. Pre-Bookings shall be made by users themselves; Pre-Bookings may not be made on behalf of another.
  2. 2.2. Pre-Booking procedures shall be regarded as having been completed when Shiseido has accepted the application prescribed in the preceding paragraph. However, Shiseido may reject an application to make a Pre-Booking or cancel a Pre-Booking that it has already accepted in any of the cases set forth in each item below. Determination of the applicability of each item shall be at the sole discretion of Shiseido (and the same shall apply in any other provisions of these Terms that state “(to be/has been) deemed/determined by Shiseido” or the like.)
    Even minors may make a Pre-Booking for Pre-Booked Services; however, Shiseido may ask minors aged under 16 years to provide parental consent, in addition to their own confirmation/consent, as necessary, to make a Pre-Booking. Shiseido will endeavor to protect the personal information of minors in the same manner as the personal information of legal adults.
    1. (1)The applicant has made a false declaration;
    2. (2)The applicant has engaged in any of the prohibited acts prescribed in Article 10, paragraph 1;
    3. (3)The applicant’s Pre-Booking for Pre-Booked Services has been cancelled, etc. in the past as a consequence of the applicant having violated these Terms, etc.;
    4. (4)The applicant has applied to make a Pre-Booking by registering an e-mail address that is not under their own name;
    5. (5)The applicant’s Pre-Booking is made on behalf of another party;
    6. (6)The applicant is a juridical person; or
    7. (7)Shiseido has otherwise deemed the applicant to be unsuitable for the use of Pre-Booked Services.
  3. 3.3. If a user who has completed a Pre-Booking for Pre-Booked Services wishes to cancel that Pre-Booking, the user shall cancel the Pre-Booking in accordance with the procedures prescribed by Shiseido on the SHISEIDO GLOBAL FLAGSHIP STORE Website by 11:59 p.m. on the day before the date of the Pre-Booked Service for which the Pre-Booking was made. If the Pre-Booking is cancelled by 11:59 p.m. on the day before the date of the Pre-Booked Service for which the Pre-Booking was made in accordance with the aforementioned procedures, then Shiseido will refund the user any usage fees for the Pre-Booked Service that it has already received from the user at that time. However, if a Pre-Booking is cancelled on the same day as the Pre-Booked Service, or if the user does not use the Pre-Booked Service at the Pre-Booked time and date (including cases in which the user was unable to use the Pre-Booked Service because the user was late) without having cancelled the Pre-Booking, then Shiseido will not refund the user any usage fees for the Pre-Booked Service that it has already received from the user at that time.

Article 6 (Handling of Users’ Personal Information)

  1. 1.Persons wishing to use Pre-Booked Services shall register the following information:
    1. (1)Name;
    2. (2)Date of birth;
    3. (3)Phone number;
    4. (4)E-mail address;
    5. (5)Password;
    6. (6)Last four digits of their credit card (Only when booking the paid service of INNER BEAUTY CHARGE);
    7. (7)Responses to the background information required by Shiseido (Only when booking the use of UTM FOUNTAIN).
  2. 2.Shiseido will acquire the following user information from users when they use individual Services.

  3. 3.3. Shiseido will use users’ personal information, etc. acquired based on the two preceding paragraphs solely for the following purposes and not for any other purpose:
    1. (1)To provide all services provided as part of the Services;
    2. (2)To confirm and manage Pre-Bookings for Pre-Booked Services;
    3. (3)For skin analysis and skin research;
    4. (4)To provide information about Shiseido’s products, campaigns, and measures;
    5. (5)For Shiseido and Shiseido group companies (hereinafter collectively referred to as “Shiseido Group”) product development, marketing development, and advertising;
    6. (6)To distribute samples, products, etc.;
    7. (7)To award benefits/privileges;
    8. (8)To conduct questionnaires;
    9. (9)To examine ways to improve user satisfaction;
    10. (10)For marketing analysis;
    11. (11)For contact/communication pertaining to other necessary items.
  4. 4.Shiseido will jointly use users’ personal information, etc. as follows:

    Purpose of joint use

    As set forth in Article 6, paragraph 3 of these Terms

  5. 5.Shiseido will provide users’ personal information, etc. to Shiseido Americas Corporation (hereinafter, “SAC”), a Shiseido Group company which aggregates information within the Shiseido Group, in accordance with the following.

    (1) To provide all services provided as part of the Services;
    (2) To confirm and manage Pre-Bookings for Pre-Booked Services;
    (3) For skin analysis and skin research;
    (4) To provide information about Shiseido’s products, campaigns, and measures;
    (5) For Shiseido Group product development, marketing development, and advertising;
    (6) To distribute samples, products, etc.;
    (7) To award benefits/privileges;
    (8) To conduct questionnaires;
    (9) To examine ways to improve user satisfaction;
    (10) For marketing analysis;
    (11) For contact/communication pertaining to other necessary items.

  6. 6.Unless there is some particular reason not to do so, Shiseido will respond appropriately to requests from users to notify them of the purpose of the use of their personal information, etc.; disclose their personal information; correct, make additions to, or delete their personal information; cease using their personal information; erase their personal information; or cease providing their personal information to third parties.

  8. 8.Shiseido appoints the person responsible for the department in charge of information security at Shiseido Company, Limited as the personal information protection manager and protects personal information.
  9. 9.Shiseido handles personal information appropriately in accordance with “About Personal Information,” in addition to the matters prescribed above.

Article 7 (Prohibition of the Transfer of Rights)

Users shall not transfer to a third party, loan, or otherwise pledge, etc. their standing, rights, or obligations arising from the use of Services or their standing, rights, or obligations arising from having made a Pre-Booking for Pre-Booked Services in whole or in part.

Article 8 (Change to Registered Content)

  1. 1.If there is any change to a user’s personal information such as the e-mail address, address, and name registered when making a Pre-Booking, the user shall promptly cancel the Pre-Booking and make a new Pre-Booking using the updated personal information in accordance with the procedures prescribed by Shiseido on the SHISEIDO GLOBAL FLAGSHIP STORE Website. Any transactions (including the use of Services) already processed prior to cancellation shall be based on the user’s information prior to cancellation.
  2. 2.If a user has been unable to receive postal mail, e-mail, products, cash, etc. from Shiseido, etc., or the user’s receipt of the same has been delayed as a consequence of the user not having undertaken the procedures prescribed in the preceding paragraph, then the user shall be regarded as having received the items when they should normally have been received.
  3. 3.Shiseido assumes no liability for damages suffered by the user as a consequence of the user not having undertaken the procedures prescribed in paragraph 1.

Article 9 (Pre-Booking Confirmation URL and Password)

  1. 1.Users shall manage and use the URL (hereinafter, “Pre-Booking Confirmation URL”) and password contained in the Pre-Booking confirmation e-mail sent to the e-mail address that they registered when making a Pre-Booking for Pre-Booked Services on their own responsibility. Shiseido assumes no liability with respect to the erroneous use, or unauthorized use by a third-party, etc., of the user’s Pre-Booking Confirmation URL and password.
  2. 2.Users must not transfer, loan, or disclose their Pre-Booking Confirmation URL and password to any third party.
  3. 3.Users shall immediately contact Shiseido if they become aware that their Pre-Booking Confirmation URL and password are being used by a third party.
  4. 4.Users will be unable to use Services if their identity cannot be verified such as when the combination of their Pre-Booking Confirmation URL and the password that they have entered do not match.

Article 10 (Prohibited Acts)

  1. 1.Shiseido prohibits users from engaging in any of the following acts (including engaging in acts which induce such acts or preparing to engage in such acts) in their use of Services or Pre-Booking of Pre-Booked Services:
    1. (1)Registering using a false name or date of birth, or another person’s e-mail address or phone number, etc., or cancelling registered content;
    2. (2)Disclosing their e-mail address and password, or using an e-mail address and password without authorization;
    3. (3)Posting information which identifies a specific third party such as that party’s photo or name, etc. to a widely accessible location inside or outside Services without the prior consent of the party in question;
    4. (4)Using or posting information that Services or Shiseido provided to the user clearly stating to be for personal use only, for any purpose other than personal use on a widely accessible site;
    5. (5)Slandering, defaming, or causing damage to the reputation of other users, third parties, or Shiseido (including Shiseido employees), or acts that may cause such damage;
    6. (6)Damaging the property rights or privacy of other users, third parties, or Shiseido (including Shiseido employees), or acts that may cause such damage;
    7. (7)Infringing upon the intellectual property rights (copyright, design rights, patent rights, utility model rights, trademark rights, portrait rights, etc.) of other users, third parties, or Shiseido (including Shiseido employees), or acts that may infringe upon such rights;
    8. (8)Sending or posting harmful computer programs, etc.;
    9. (9)Posting or sending spam messages (the act of one or more users posting the same or similar text within Services, or sending the same or similar text as messages within Services), spam words (the act of one or more users making multiple posts within Services which have no or little relevance to the place in which they are posted, or making extremely long posts or a great volume of posts), or spam URLs (the act of one or more users posting the same URL within Services, or sending the same URL as a message within Services, and any other acts that Shiseido deems to be spam);
    10. (10)Acts contrary to public order and morals, criminal acts, or acts that may constitute the same;
    11. (11)Using Services for profit or making preparations to do so;
    12. (12)Repeatedly making and cancelling Pre-Bookings for Pre-Booked Services beyond the scope of a regular user;
    13. (13)Acts in violation of the rules of domestic and international network services (when communicating via other domestic and international networks);
    14. (14)Placing an excessive load on Service servers, or damaging Service network systems;
    15. (15)Election campaign activities and the like, or other political and religious activities;
    16. (16)Acts in violation of these Terms and any other acts which hinder the operation of Services and the SHISEIDO GLOBAL FLAGSHIP STORE;
    17. (17)Acts in violation of the laws of Japan or the country/region where the user is located when they use Services or make a Pre-Booking.
  2. 2.If Shiseido deems that a user’s use of Services or Pre-Booking of Pre-Booked Services constitutes any of the acts enumerated in each item of the preceding paragraph, then it may place restrictions on or refuse the user’s use of Services or Pre-Booking of Pre-Booked Services. Shiseido assumes no liability for any disadvantage or damages suffered by the user in this case.

Article 11 (Erasure of Information Provided by Users)

Shiseido may, at its discretion, erase the information, text, drawings, etc. (hereinafter, collectively referred to as “Information, etc.”) provided by a user without notifying the user when that Information, etc. constitutes a prohibited act prescribed in Article 10, paragraph 1. Shiseido will not be obliged to disclose the reason for the erasure of Information, etc. in this case. The user bears all legal liability arising from the erasure of the Information, etc., and Shiseido assumes no liability in relation thereto.

Article 12 (Copyright and Other Intellectual Property Rights)

  1. 1.Copyright, intellectual property rights, and all other rights associated with Services are owned by or used by Shiseido under license or other valid title, and a user’s license to use Services shall not be construed as transferring any of the aforementioned rights to the user, etc. Shiseido prohibits users from using any of the content published on the SHISEIDO GLOBAL FLAGSHIP STORE Website or displayed in the SHISEIDO GLOBAL FLAGSHIP STORE, or any of Shiseido’s responses to user inquiries, etc., for any purpose other than the user’s own personal use, publicly re-posting such content within or outside the network, or using or reproducing such content without authorization.
  2. 2.All trademarks and service marks used in Services are owned by Shiseido or Shiseido Group or used under license or other valid title, and Shiseido prohibits users from using them without authorization. Users shall transfer any copyright (including the rights prescribed in Article 27 and Article 28 of the Copyright Act) or other intellectual property rights associated with the Information, etc. that they have provided to Shiseido free of charge and shall not exercise their moral rights of the author, etc.
  3. 3.Shiseido prohibits users from violating Shiseido’s rights by duplicating, editing, modifying, analyzing such as reverse engineering, decompiling, disassembling, publishing, distributing, or secondarily using (including providing to a third party) the content of Services, etc., or registering or applying for rights, etc. with respect to such content.

Article 13 (Compensation for Damages)

  1. 1.Users assume responsibility for their use of Services, Pre-Booking of Pre-Booked Services, and the outcomes thereof. Users who cause damage to other users or third parties owing to circumstances attributable to their own responsibility in connection with their use of Services or Pre-Booking of Pre-Booked Services shall resolve the situation on their own responsibility and at their own expense.
  2. 2.Users who cause damage to Shiseido owing to circumstances attributable to their own responsibility in connection with their use of Services or Pre-Booking of Pre-Booked Services shall compensate the damages suffered by Shiseido.

Article 14 (Disclaimer)

  1. 1.Users shall use Services and make Pre-Bookings for Pre-Booked Services at their own risk; Shiseido assumes no liability and will not be obliged to pay compensation for damages suffered by users as a consequence of their use of Services, Pre-Booking of Pre-Booked Services, or use of Information, etc. provided through the Services. Users may be presented with simulations assuming their use of products, etc., or various other information through their use of Services; however, users shall use such information at their own risk; Shiseido makes no guarantee as to the outcomes of the use of such information.
  2. 2.Shiseido assumes no liability and will not be obliged to pay compensation for damages resulting from the use of websites managed or operated by third parties accessed through links from the SHISEIDO GLOBAL FLAGSHIP STORE Website.
  3. 3.Shiseido assumes no liability for system interruption, delays, suspension, or loss of data resulting from the failure of communications lines and computers, etc. (including but not limited to failure caused by computer viruses), tampering or damage caused by unauthorized access to data, or any other damages suffered by users in connection with Services.
  4. 4.Shiseido assumes no liability with respect to any disputes that a user has become involved in with another user, the provider of Information, etc. in Services, or a third party in connection with the user’s use of Services or Pre-Booking of Pre-Booked Services.
  5. 5.Shiseido assumes no liability with respect to changes to Services, the addition of Services, or the discontinuation of Services.
  6. 6.If Shiseido has regarded the use of Pre-Booked Services as the use by users themselves by verifying the matching Pre-Booking Confirmation URL and password by its prescribed method, then it assumes no liability for any damages resulting from the fraudulent or unauthorized use of the Pre-Booked Service, etc. by a third party other than the user.
  7. 7.Shiseido assumes no liability for damages resulting from the failure of users to make a cancellation when there is a change in their registered information.
  8. 8.Shiseido assumes no liability for damages that occur in external applications such as Twitter when a user has connected Services or anything related to Services (including but not limited to the QR code provided at the completion of Services and the screen displayed based on that code) to the external application.
  9. 9.Users shall dispose of the Tool in accordance with the disposal rules, etc. enacted by the local government, etc. on their own responsibility after using Services. Shiseido assumes no liability for damages suffered by the user as a consequence of not properly disposing of the Tool, and if the user’s improper disposal of the Tool has caused damage to Shiseido, then the user shall compensate Shiseido for those damages on their own responsibility.
  10. 10.The provisions set forth in this Article shall not apply to the willful acts or gross negligence of Shiseido. However, even if Shiseido is liable for any reason, its liability to a user shall be limited to the amount of consideration that the user has paid to Shiseido in Services within the past 12 months, and Shiseido assumes no liability for any incidental, indirect, special, and future damages or lost profits.

Article 15 (Service Maintenance)

Shiseido may suspend the provision of Services in whole or in part without prior notice to users in the following cases to keep Services operating in good condition. Shiseido assumes no liability for damages or disadvantage suffered by users as a consequence of the suspension of Services in these cases:

  1. (1)To perform regular and emergency system maintenance;
  2. (2)When system operation has been rendered difficult by fire, power outage, or third party-interference, etc.;
  3. (3)When Shiseido has otherwise deemed it unavoidably necessary to suspend system operation.

Article 16 (Suspension of Use)

If a user has violated any of the provisions of these Terms, or the user has caused damage to Shiseido in connection with Services, or Shiseido has otherwise deemed the user unsuitable to receive the provision of Services, then Shiseido may immediately suspend the use of Services and the Pre-Booking of Pre-Booked Services by the user without prior notice or the consent of the user.

Article 17 (Change/Discontinuation of Services)

  1. 1.Shiseido reserves the right to change the content of Services in whole or in part, add new Services, or discontinue Services without prior notice to users. Shiseido assumes no liability for any disadvantage or damages suffered by users in this case.
  2. 2.If Services are terminated, users will not be able to use Services for any reason.

Article 18 (Use of Cookies and Web Beacons)

  1. 1.Parts of the SHISEIDO GLOBAL FLAGSHIP STORE Website use cookies for the following purposes. The cookies on the SHISEIDO GLOBAL FLAGSHIP STORE Website function to store the information the user has viewed on the SHISEIDO GLOBAL FLAGSHIP STORE Website on the user’s computer. The information collected through cookies does not include any “personally identifiable information” such as e-mail addresses or names.

Users may adjust their browser settings to block cookies but shall acknowledge that doing so may cause parts of the Website to not function properly or to become unusable.
  3. 3.Some pages of the SHISEIDO GLOBAL FLAGSHIP STORE Website use a technology called web beacons to collect statistics on the user’s usage situation of the Services provided on the SHISEIDO GLOBAL FLAGSHIP STORE Website. Article 20 (Governing Law and Court of Competent Jurisdiction)

The interpretation and application of these Terms shall be governed by the laws of Japan. Unless otherwise specified, the Tokyo District Court shall have the exclusive jurisdiction as the court of first instance to hear all disputes arising in connection with the use of Services and the Pre-Booking of Pre-Booked Services.
